    Why is my Word file empty?

    The PDF is probably a scan, which contains pictures of text rather than text. Run it through OCR PDF first, then convert.

    Will the layout match exactly?

    No. Text, paragraphs and headings come across; complex layouts, tables and images need adjusting by hand. For exact copies, keep the PDF.
